The most persistent obstacle to an open, interoperable metaverse is not technical. The underlying protocols exist or can be built. The standards bodies are convened and working. The developer talent, however unevenly distributed, is present in the market. The obstacle is financial — specifically, the structure of venture capital investment in the metaverse sector, which has been systematically organized around a set of incentives that treat open standards as a threat to returns rather than a foundation for growth.

This is not a matter of individual bad actors or short-sighted investors. It is a structural feature of how venture capital operates, applied to a sector where the network effects of proprietary lock-in are exceptionally powerful. Understanding the mechanism is essential for anyone working to advance interoperability standards — because until the financial logic changes, the technical and policy arguments for openness will continue to lose in the rooms where it matters most.

How Venture Capital Bets Are Placed in the Metaverse Sector

Venture capital investment in metaverse-adjacent companies reached peak velocity between 2021 and 2022, with aggregate global investment figures in the tens of billions of dollars. While that pace has moderated significantly in the years since, the structural logic of those investments continues to shape the behavior of the companies that received funding and the broader competitive dynamics of the sector.

The core VC model in platform-oriented technology is straightforward: identify a company with the potential to become the dominant node in a network, invest early, and hold until an exit event — typically an acquisition or public offering — that rewards platform dominance with a valuation multiple. The more defensible the platform's position, the more attractive the exit. And defensibility, in platform economics, is almost synonymous with switching cost — the difficulty a user or developer faces in moving to a competing system.

Interoperability, by definition, reduces switching costs. A platform that allows users to carry their identity, assets, and social connections elsewhere is a platform that is easier to leave. From a pure return-maximization standpoint, that is a liability, not an asset. The financial incentive structure therefore pushes portfolio companies — often subtly, sometimes explicitly — toward architectural choices that deepen proprietary dependencies.

Data from several venture-backed metaverse platform companies bears this out. Analysis of public API documentation, published terms of service, and developer agreement structures across a sample of VC-backed metaverse platforms consistently shows that companies with the largest disclosed funding rounds maintain the most restrictive data portability and cross-platform integration policies. That correlation is not coincidental.

The Term Sheet as Standards Policy

The influence of venture capital on platform architecture does not operate solely through market pressure. It operates through governance — specifically, the contractual rights that investors acquire through preferred share structures, board seats, and protective provisions embedded in term sheets.

Board composition at VC-backed companies typically gives investors significant influence over strategic direction, including technology roadmap decisions. When a company's technical leadership proposes investing engineering resources in open standards compliance — work that is costly, slow to monetize, and directly contrary to the lock-in logic that justifies the company's valuation — that proposal must survive a governance process in which the financial case for openness is structurally disadvantaged.

Several former executives at venture-backed metaverse companies, speaking with the Metaverse Standards Forum under conditions of anonymity, described board-level resistance to open standards participation as a consistent feature of their experience. One described a meeting in which a proposal to implement a published interoperability specification was tabled after an investor board member asked, straightforwardly, how the feature would prevent user churn. "There was no good answer that fit the model they were using," the executive said. "Open standards don't prevent churn. That's the point of them."

Exit Strategies and the Standardization Horizon

The temporal dimension of venture capital investment compounds the structural problem. The typical VC fund has a ten-year life, with the expectation that portfolio companies will reach exit within five to seven years of initial investment. Standards development processes — particularly the kind of rigorous, multi-stakeholder processes that produce durable and genuinely interoperable specifications — operate on longer timescales.

A metaverse company that commits meaningfully to open standards participation is committing to a process whose benefits materialize gradually, across an industry, over a period that may extend well beyond the fund's investment horizon. The company that invests in proprietary differentiation, by contrast, can demonstrate defensibility in terms that are legible to acquirers and public market investors within the relevant window.

This creates what might be called a standardization horizon problem: the financial incentives of venture capital are calibrated to a timeframe that is structurally shorter than the timeframe over which open standards deliver their primary value. The result is a persistent underinvestment in interoperability relative to its social and economic value.

Regulatory and Structural Levers Worth Examining

If the problem is structural, the solutions must also be structural. Several potential levers merit serious examination.

Interoperability mandates as market correction. Regulatory requirements that mandate minimum interoperability standards — analogous to the data portability provisions in the European Union's Digital Markets Act — can change the calculus for VC-backed companies by removing lock-in as a defensible competitive strategy. When the regulatory floor requires openness, proprietary architecture no longer generates the switching-cost premium that justifies its valuation premium. US policymakers have been slower than their European counterparts to engage this lever, but the precedent exists and the mechanism is understood.

Alternative funding models for open infrastructure. The venture capital model is not the only funding structure available for metaverse development. Non-dilutive grant funding through federal programs, patient capital from mission-aligned institutional investors, and cooperative ownership structures have all been deployed successfully in adjacent sectors. The open-source software ecosystem, which now underlies the majority of the internet's infrastructure, was built substantially through funding models that did not require proprietary lock-in as a return mechanism. There is no reason in principle why similar models cannot be applied to metaverse infrastructure.

Standards body engagement as investor expectation. A smaller but growing cohort of technology investors has begun incorporating open standards participation into their investment criteria and portfolio company expectations. ESG-adjacent frameworks for technology investment are nascent but developing. Formalizing interoperability commitments as a component of responsible technology investment practice — with associated disclosure expectations — could shift the reputational and eventually the financial calculus for fund managers.

The Accountability Gap

What is notably absent from the current landscape is a systematic accountability mechanism linking investment behavior to interoperability outcomes. Standards bodies publish specifications. Certification programs assess compliance. Industry analysts track adoption metrics. But no established framework connects the upstream financial decisions — the term sheet structures, the board governance dynamics, the exit strategy logic — to the downstream interoperability failures they produce.

Closing that accountability gap is a prerequisite for meaningful progress. The open metaverse will not be built by technical standards alone. It will be built, or not built, by the financial decisions that determine which technical choices get made. Following that money is not a peripheral concern for the standards community — it is a central one.
